What is the downside of putting the files in a directory other than cgi-bin?

As long as your server is set up to allow the execution of cgi/perl scripts within another directory and Indexes are off, then there should be no difference.

cgi-bins are virtual a fallacy in many servers...you don't necessarily have to execute cgi/perl scripts in anyone particular directory, unless in terms of security or monitoring CGI scripts, hosting companies set-up only one directory/folder to execute those types of scripts...
